1. Introduction
Welcome to Otomkt. These Terms of Service ("Terms") govern your access to and use of the Otomkt platform, website, and services (collectively, the "Service") operated by Aetheria Solutions ("we", "us", or "our").
By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
2. Definitions
- Platform — The Otomkt web application and associated tools available at app.otomkt.com.
- User / Agent — Any individual or entity (typically a licensed real estate agent) that creates an account and uses the Service.
- Services — Property listing extraction, AI-generated ad copy and creatives, Meta Ads campaign management, WhatsApp automation, AI lead qualification, Lead CRM, and related features.
- Lead Qualification — The automated process by which Julia, our AI WhatsApp assistant, engages with and screens property enquiries on the Agent's behalf, and routes qualifying leads to the Agent.
- Prospect — A third-party individual (e.g. a property buyer or tenant) who interacts with Julia via WhatsApp in response to an Agent's advertisement.
- Lead CRM — The in-platform record of Prospect conversations, qualification status, and Agent follow-up notes.
- Content — Text, images, ad copy, creatives, and other materials generated through or uploaded to the Platform.
3. Account Registration
To use the Service, you must create an account using a valid email address or Google sign-in. You agree to:
- Provide accurate and complete registration information.
- Maintain the security of your account credentials.
- Promptly notify us of any unauthorized access to your account.
- Accept responsibility for all activities that occur under your account.
4. Acceptable Use
You agree to use the Service only for lawful property advertising and lead management purposes. You must not:
- Use the Service to create misleading, fraudulent, or deceptive advertisements.
- Programmatically access property listings in violation of the source website's terms of service.
- Upload or distribute content that infringes on third-party intellectual property rights.
- Attempt to reverse engineer, disassemble, or compromise the Platform's security.
- Use the Service in any manner that violates applicable laws or regulations, including Singapore's Estate Agents Act, the Consumer Protection (Fair Trading) Act, or the Personal Data Protection Act 2012 (PDPA).
- Use the Lead Qualification feature to engage Prospects in a manner that is deceptive, abusive, or inconsistent with the property advertised.
You are responsible for ensuring that all advertisements created through the Service comply with Meta's advertising policies, WhatsApp Business policies, and any applicable advertising regulations in your jurisdiction.
5. AI-Generated Content
The Service uses artificial intelligence to generate ad copy, image creatives, property data extractions, and automated lead qualification responses. You acknowledge and agree that:
- AI-generated content — including ad copy, creatives, and responses sent by Julia to Prospects — may contain errors, inaccuracies, or omissions.
- You are solely responsible for reviewing and verifying all AI-generated ad content before publishing or distributing it.
- We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.
- Property data extracted from third-party websites is provided "as-is" and may not reflect current or accurate listing information.
- The AI assistant (Julia) acts as a technology tool on your behalf; you remain responsible for any representations made to Prospects during the qualification process.
6. Lead Qualification Service
When you activate lead qualification for a campaign, our AI assistant (Julia) will engage with Prospects via WhatsApp on your behalf. You acknowledge and agree that:
- You are the responsible party. Julia acts as your agent. You are responsible for the accuracy and appropriateness of any information Julia conveys to Prospects about the property, pricing, or availability.
- Prospect data collection. Julia will collect information from Prospects (including name, phone number, budget, timeline, and intent) for the purpose of qualifying and routing leads to you. You are responsible for ensuring that this collection and use is compliant with the PDPA and any other applicable data protection laws.
- Qualified leads. A lead marked as "qualified" by the AI is based on automated screening criteria. It does not constitute a guarantee that the Prospect will transact. You agree to treat Prospects fairly and professionally upon receiving their details.
- No guarantee of results. We do not guarantee a minimum number of leads, qualified leads, or campaign conversions. Ad performance depends on factors outside our control, including Meta's advertising algorithms, market conditions, and the property itself.
- CRM records. Lead conversation logs are stored in the Lead CRM for your review. You must not use these records for any purpose beyond managing and following up on your property leads.
7. Third-Party Services
The Platform integrates with third-party services to provide its functionality. Your use of these integrations is subject to the respective third-party terms:
- Meta (Facebook/Instagram) — For ad campaign creation and management. Subject to Meta's Terms of Service and Advertising Policies.
- WhatsApp Business API — For messaging automation, including Lead Qualification conversations with Prospects. Subject to WhatsApp's Business Terms of Service.
- PropertyGuru and 99.co — Property listing data sources. We access publicly available listing information.
- Google Firebase — For authentication services.
- Twilio — For SMS one-time password (OTP) verification during registration.
- Airwallex — For payment processing (cards, PayNow, and related checkout). Card and wallet data are collected and processed by Airwallex under its terms; we receive payment confirmations and billing metadata. Subject to Airwallex terms (Singapore).
- AI Providers — For content generation, image processing, and lead qualification logic.
We are not responsible for the availability, accuracy, or terms of any third-party services.
8. Intellectual Property
The Otomkt platform, including its design, code, features, and branding, is our proprietary property and is protected by intellectual property laws.
You retain ownership of the property listing content you provide and any original images you upload. AI-generated creatives and ad copy produced through the Service are licensed to you for use in your property advertising activities.
You grant us a limited, non-exclusive license to use your content as necessary to provide the Service (e.g., processing images, generating ads, launching campaigns, conducting lead qualification on your behalf).
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data and the data of Prospects who interact with Julia. By using the Service, you consent to the practices described in the Privacy Policy.
You acknowledge that as the party commissioning lead qualification, you act as a data controller in relation to Prospect data, and we act as a data intermediary or processor on your behalf. You are responsible for ensuring a lawful basis exists for collecting and using Prospect data under the PDPA.
10. Payments and Fees
The Service operates on a pay-per-campaign basis. There are no recurring subscription fees. Campaign service fees are displayed at the time of purchase and are based on campaign duration and selected package. All fees are inclusive of applicable taxes unless otherwise stated. Payments are processed through our payment provider and are non-refundable once a campaign has been launched, except where required by law.
11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as-is" and "as-available" without warranties of any kind, whether express or implied.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
- We are not liable for any losses resulting from AI-generated content inaccuracies, lead qualification outcomes, third-party service failures, or unauthorized access to your account.
- We are not liable for any disputes, claims, or regulatory action arising from a Prospect's interaction with Julia, including any inaccurate property information conveyed during the qualification process.
12. Termination
Either party may terminate the account at any time. We reserve the right to suspend or terminate your access if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or Prospects.
Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or for legitimate business purposes.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.
14. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
